SHOULD YOU PURCHASE SOFTWARE AFTER YOU RECEIVE AN AUDIT LETTER?

If your company recently received a letter demanding you submit to a voluntary software audit (ex. from companies such as the BSA, SIIA, Autodesk, Microsoft, or their attorneys - see list below of legitimate law firms that may be sending you these letters), one question that I am frequently asked as a federal copyright lawyer is "IS IT OKA IF WE BUY SOFTWARE DURING THE TIME WE ARE BEING AUDITED?

This is an important question that has many facets to consider. One of the most important things is that the audit letter will TYPICALLY say that purchasing new software to replace infringing software is not advisable. They will also usually note that licensing software during the audit period may compromise their willingness to settle a case.

Some clients, however, need to legitimately purchase software because they are hiring new employees, merging with another company, or have bona fide reasons to buy additional software, such as creating new teams, divisions, or departments, and the need to purchase software arises.
