Introduction

We are a blank check company formed under the laws of the State of Delaware on March 17, 2016. We were formed for the purpose of entering into a merger, share exchange, asset acquisition, stock purchase, recapitalization, reorganization or other similar business combination, with one or more target businesses. To date, our efforts have been limited to organizational activities as well as activities related to this offering. Our efforts to identify a prospective target business will not be limited to any particular industry or geographic region, although we intend to focus our search on target businesses operating in energy-related industries (from energy producers to technology enablers), that can benefit from global expansion or cooperation. We have not selected any target business for our initial business combination and we have not (nor has anyone on our behalf), directly or indirectly, engaged in any substantive discussions with a target business with respect to a business combination transaction with us.

As world is striving to reinvent its energy supplies, we believe that there is a growing ecosystem of companies that are either committed to the new ways of producing traditional types of energy, including oil and gas, or to developing the newest technologies that pave the way for a more ecologically responsible means of energy supplies. We believe that our global experience and knowledge would allow us to identify the most promising targets and assist them in their rapid growth.

Investment strategy

We want to take advantage of privately held energy producers (from oil and gas extraction to battery materials and rare earth metals mining) and technology companies that have significant growth potential, but need capital to facilitate their expansion. By acquiring a company with proven technological and production base, but limited global access, we believe that we will be able to create value for our investors.

We anticipate targeting companies with established presence and off-takes in North America, which can benefit from expanding to Europe and South-East Asia.

Ilya Ponomarev

Ilya Ponomarev has served as our director since our inception and has been our Chief Executive Officer since February 15, 2018. From December 2007 to the present, Hon. Ponomarev served an opposition member of Russian Parliament — State Duma representing Novosibirsk — the capital of Siberia, and is chairing Innovations and Venture Capital (formerly Hi-Tech development) subcommittee. Although he was a member of parliament until 2016, after his lone vote against the war between Russia and Ukraine, he was not permitted to return to Russia after traveling to the United States.
